Terms and Conditions of Sale

These terms govern every sale of goods by ETERNAL ETHEREAL LIMITED (trading as Cosmo Distro, "we", "us") to a business customer ("you"). By placing an order you accept these terms. We sell to businesses only; we do not sell to consumers.

1. Definitions

Goods — the products described on your order confirmation.
Order — your request to buy Goods, placed through this website, by email or by telephone.
Case — the full outer pack quantity stated against each product line.

2. Orders

Placing an order is an offer to buy. A contract is formed only when we send an order confirmation or dispatch the Goods, whichever happens first. We may decline an order where stock is unavailable, where a pricing or description error has occurred, or where we cannot verify your business details.

The minimum order is one full case per product line. We cannot split cases.

3. Prices and payment

Prices shown are per unit and exclude VAT and delivery, unless stated otherwise.
VAT is charged at the prevailing UK rate where applicable. Valid EU and international customers may qualify for zero-rating on production of the required documentation.
Payment is due in full before dispatch unless credit terms have been agreed in writing.
Where credit terms apply, invoices are payable within 30 days of the invoice date. We may charge statutory interest and recovery costs on overdue sums under the Late Payment of Commercial Debts (Interest) Act 1998.
We accept card payments through our payment provider and bank transfer against a proforma invoice. Card details are handled by our payment provider and are never stored by us.

4. Delivery

Delivery timescales are set out in our shipping and delivery policy. Delivery dates are estimates and time is not of the essence. We are not liable for delays outside our reasonable control.

5. Title and risk

Risk in the Goods passes to you on delivery. Title does not pass until we have received payment in full of all sums owed by you on any account.

6. Inspection and shortages

You must inspect the Goods on delivery. Damage, shortages or incorrect items must be notified in writing within 3 working days of delivery, and any other defect within 14 days. See our returns and refunds policy.

7. Resale and compliance

You are responsible for ensuring that the Goods are stored, labelled and sold in compliance with the laws of the territory in which you resell them, including cosmetic product safety and labelling requirements. You must not alter product packaging or safety information.

8. Warranty and liability

We warrant that on delivery the Goods will conform to their description and be free from material defect. Our total liability arising under or in connection with a contract is limited to the price paid for the Goods giving rise to the claim.

We do not exclude or limit liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot lawfully be excluded. Subject to that, we are not liable for loss of profit, loss of business or any indirect or consequential loss.

9. Force majeure

We are not in breach of these terms, nor liable for delay or failure to perform, where caused by an event beyond our reasonable control.

10. Governing law

These terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
